Check your name is free
Search the Wyoming Secretary of State's business records to check no business already uses your name, or one too close to it. An LLC's name must also end with "LLC" or a similar ending.
-

Choose a registered agent
In Wyoming, the registered agent must sign a Consent to Appointment by Registered Agent, filed with your articles. The agent can be a Wyoming resident or a business entity authorized to do business in Wyoming, and needs a physical address in Wyoming.

File your Articles of Organization
File them with the Wyoming Secretary of State, online through WyoBiz or by mail. The state's fee is $100; paying online by card adds a processing fee of 2.4% (at least $1). Once they're filed, your business exists.
-
Your records
Write an operating agreement
It sets out who owns the LLC, how decisions are made and what happens if someone leaves. It isn't filed with the state: keep it with your records. A lawyer can help you write one.
-
With the IRS
Get an EIN from the IRS
An Employer Identification Number is your business's tax number, for taxes, hiring and a bank account. Apply once your Articles of Organization are filed. It's free from the IRS: with a Social Security number or ITIN, you can apply on the IRS's own site and get it at once. Watch out for look-alike sites that charge for it.
-
With the state
Register for state taxes
If you'll sell taxable goods or services, register with the Wyoming Department of Revenue's Excise Tax Division for a sales and use tax license. Employers also register with the Department of Workforce Services for unemployment insurance; it also handles workers' compensation.
-
City or county
Check local licenses and permits
Beyond registering with the Secretary of State, a Wyoming business may need a specific license or permit depending on what it does; the Wyoming Business Council helps with licensing and permitting. Your city clerk's office can tell you about local licenses and permits, and your city or county may need zoning approval.
-
Your records
Open a business bank account
Keep the business's money apart from your own: it keeps your records clear at tax time, and keeps the LLC separate from you. Banks usually ask for your filed Articles of Organization and your EIN.

Put the annual report and license tax in your calendar
Every LLC in Wyoming files an annual report with the Secretary of State each year by the first day of the month it was formed (for example, one formed May 15 files by May 1), and pays a license tax with it: $60, or two-tenths of a mill on the dollar ($0.0002) of its assets located and employed in Wyoming, whichever is greater. An LLC with $300,000 or less in such assets pays $60. Filing online adds a card processing fee. An LLC that hasn't filed within 60 days after the due date is administratively dissolved.
