    Check your name is free

    Search the Iowa Secretary of State's business records to check no business already uses your name, or one too close to it. An LLC's name must also end with "LLC" or a similar ending.

    Choose a registered agent

    Every LLC and corporation in Iowa needs a registered agent: a person or company with a street address in Iowa who receives legal papers and state notices for it. You can be your own, or pay a registered agent service.

    File your Certificate of Organization

    File it with the Iowa Secretary of State; online through Fast Track Filing is fastest, with an account on their site, and you upload your signed Certificate of Organization as a PDF. The state's fee is $50. Once it's filed, your business exists.

    Write an operating agreement

    It sets out who owns the LLC, how decisions are made and what happens if someone leaves. It isn't filed with the state: keep it with your records. A lawyer can help you write one.

  5. With the IRS

    Get an EIN from the IRS

    An Employer Identification Number is your business's tax number, for taxes, hiring and a bank account. Apply once your Certificate of Organization are filed. It's free from the IRS: with a Social Security number or ITIN, you can apply on the IRS's own site and get it at once. Watch out for look-alike sites that charge for it.

    Register for state taxes

    If you'll sell taxable goods or services, or hire employees, register with the Iowa Department of Revenue for a sales tax or withholding permit; it's free online through GovConnectIowa. Employers also register with Iowa Workforce Development for unemployment insurance, at myIowaUI, within 30 days after first paying wages in Iowa.

    Check local licenses and permits

    Iowa has no general business license. Licenses depend on the kind of business or profession, and your city or county may need its own licenses, permits or zoning approval. The state's Business License Information Center at IASourceLink (319-273-5444) can tell you what applies to you.

    Keep the business's money apart from your own: it keeps your records clear at tax time, and keeps the LLC separate from you. Banks usually ask for your filed Certificate of Organization and your EIN.

    Put the biennial report in your calendar

    Every LLC in Iowa files a biennial report with the Secretary of State every two years, between January 1 and April 1 of each odd-numbered year, starting with the first odd-numbered year after the year it's formed. The fee is $30 online or $45 on paper. The state can administratively dissolve an LLC that doesn't file within 60 days after it's due.
