  1. With the state

    Check your name is free

    Search the Nebraska Secretary of State's business records to check no business already uses your name, or one too close to it. An LLC's name must also end with "LLC" or a similar ending.

  2. Your records

    Choose a registered agent

    Every LLC and corporation in Nebraska needs a registered agent: a person or company with a street address in Nebraska who receives legal papers and state notices for it. You can be your own, or pay a registered agent service.

  3. With the state

    File your Certificate of Organization

    File it with the Nebraska Secretary of State online, by mail or in person. The state's fee is $100 online or $110 on paper; in the new online filing system due by the end of 2026, paying by card adds $1.75 plus 2.49% ($1.75 by ACH). Once it's filed, your business exists.

  4. Your records

    Publish notice of your new business

    Nebraska law requires a notice of your LLC's organization, or your corporation's incorporation, to be published for three weeks in a row in a legal newspaper: for an LLC, one circulating near its designated office; for a corporation, one in the county of its principal office (or its registered office, if it has no principal office in Nebraska). Then file the proof of publication with the Secretary of State ($25 online, $30 on paper).

    Write an operating agreement

    It sets out who owns the LLC, how decisions are made and what happens if someone leaves. It isn't filed with the state: keep it with your records. A lawyer can help you write one.

  6. With the IRS

    Get an EIN from the IRS

    An Employer Identification Number is your business's tax number, for taxes, hiring and a bank account. Apply once your Certificate of Organization are filed. It's free from the IRS: with a Social Security number or ITIN, you can apply on the IRS's own site and get it at once. Watch out for look-alike sites that charge for it.

  7. With the state

    Register for state taxes

    Register with the Nebraska Department of Revenue if you'll have employees, make retail sales, rent or lease goods, or provide taxable services; you can register online or with Form 20. Employers also apply for an unemployment insurance account with the Nebraska Department of Labor, online through NEworks.

  8. City or county

    Check local licenses and permits

    Nebraska has no general business license. Depending on your business, other state or local agencies may require licenses, and your city or county may need its own permits or zoning approval.

    Open a business bank account

    Keep the business's money apart from your own: it keeps your records clear at tax time, and keeps the LLC separate from you. Banks usually ask for your filed Certificate of Organization and your EIN.

  10. With the state

    Put the biennial report in your calendar

    Every LLC in Nebraska files a biennial report with the Secretary of State between January 1 and April 1 of each odd-numbered year, starting with the first odd-numbered year after it's formed. The fee is $25 online or $30 on paper. An LLC whose report isn't filed by June 16 of that year is administratively dissolved.
